Terms of Service
Last updated 14 October 2026
Agreement to these terms
These Terms of Service (the “Terms”) are a binding agreement between you and Vega Marketing Group LLC (“VMG”, “we”, “us”), a California limited liability company. They govern your access to and use of vegamarketingroup.com (the “Site”) and any marketing, video production, photography, website, automation or related services we provide (the “Services”).
By accessing the Site, enquiring through it, booking a call, or engaging us for Services, you accept these Terms. If you do not accept them, do not use the Site or the Services.
Where we have signed a separate written agreement, proposal or statement of work with you, that document controls to the extent it conflicts with these Terms.
Who we are and how to reach us
Vega Marketing Group LLC operates from San Diego, California and serves clients across San Diego, Los Angeles, Orange, Riverside and San Bernardino counties. You can reach us at [email protected] or (760) 759-6332.
The Services
We provide marketing and content services which may include social media management, video production and editing, listing and property photography, podcast production, website and landing page design, lead capture, CRM and automation setup, reputation management, paid advertising and local search work.
The specific scope, deliverables, schedule and fees for your engagement are set out in your proposal, plan or statement of work. Nothing on the Site is an offer capable of acceptance; pricing shown on the Site is indicative and may change.
Engaging us, fees and cancellation
Subscription plans are billed in advance on a monthly or annual cycle as selected at checkout. Unless your written agreement says otherwise, subscriptions renew automatically until cancelled.
You may cancel a subscription at any time, effective at the end of the then-current billing period. Fees already paid are not refundable except where required by law or expressly agreed in writing.
Project work, shoot days and production bookings may require a deposit. Cancellations or reschedules made with less than the notice stated in your agreement may be charged in part or in full to cover reserved crew and equipment time.
Your responsibilities and the material you give us
You agree to give us timely access to the accounts, properties, premises, people and information we need to perform the Services, and to review and respond to drafts within the timeframes we agree.
You are responsible for the accuracy and legality of everything you provide to us, including logos, photographs, footage, product claims, testimonials, pricing and listings. You confirm that you own or are licensed to use that material and that our use of it for the Services will not infringe anyone’s rights.
You grant us a non-exclusive licence to use the material you provide for the purpose of delivering the Services to you.
Where we film people, premises or property on your behalf, you are responsible for ensuring that the necessary permissions, releases and access rights are in place before the shoot.
Ownership of our intellectual property
The Site and everything we create, other than material you supply to us, is owned by VMG or our licensors and is protected by copyright, trademark and other laws. This includes but is not limited to: our name and logo; the written copy, headlines and page text on the Site; the structure, layout, design, styling and code of the Site; our photographs, video footage, edits, captions, graphics and motion work; our templates, frameworks, processes, checklists and automation configurations; and our proposals, pricing structures and reports.
No right or licence is granted to you by implication, estoppel or otherwise except as expressly stated in these Terms.
Viewing the Site does not transfer any ownership. Nothing on the Site may be treated as free to reuse because it is publicly accessible.
What clients receive
On full payment of the fees due for the relevant work, we grant you a perpetual, non-exclusive, worldwide licence to use the final deliverables we produce for you for your own marketing and business purposes.
Unless your written agreement expressly assigns copyright to you, we retain ownership of the underlying works, including raw footage, project files, source files, templates and the methods and systems used to produce them.
The licence to use deliverables does not extend to reselling, sublicensing or redistributing them as stock or template material, nor to any use after a chargeback or reversal of payment.
Our right to show our work
We may display work we produce, including video, photography, written content and screenshots, in our portfolio, on this Site, on our social media profiles and in proposals and pitches, together with your business name and logo, unless you tell us in writing that you do not want this. We will honour any reasonable confidentiality or embargo request.
Prohibited use of the Site and our content
You must not, and must not permit anyone else to:
- copy, reproduce, republish, mirror, frame or redistribute any part of the Site or our content without our prior written permission;
- use our name, logo, wordmark, colours or branding, or anything confusingly similar, in a way that suggests we are connected with, endorse or supply your business;
- hold out our work, portfolio, case studies, testimonials or client results as your own;
- link to, embed or present our social media profiles, reviews or client accounts as though they belong to you;
- scrape, crawl, harvest, index or otherwise extract content from the Site by automated means, except by a general-purpose search engine obeying our robots file;
- use the Site or our content to train, fine-tune or ground any machine learning or generative model without our prior written permission;
- approach, solicit or divert our clients by representing our work or credentials as yours;
- interfere with the Site, probe it for vulnerabilities, or circumvent any technical measure we use to protect it.
We reserve every right and remedy available to us, including injunctive relief, takedown and transfer proceedings, and claims for damages and costs.
Trademarks
“Vega Marketing Group”, the VMG bar-chart mark and our stacked wordmark lockup are trademarks of Vega Marketing Group LLC, whether or not registered. Use of them without our written permission is prohibited.
Other names and marks appearing on the Site are the property of their respective owners and are used for identification only. Their appearance does not imply any affiliation or endorsement.
Third-party platforms
The Services may depend on third-party platforms such as social networks, advertising systems, payment processors, hosting providers and CRM tools. We do not control those platforms. Their availability, policies, fees, algorithms and approval decisions may change at any time, and we are not responsible for their acts or omissions.
Links from the Site to other websites are provided for convenience and are not an endorsement.
Confidentiality
Each party may receive non-public information from the other. Each party agrees to keep the other’s confidential information in confidence, to use it only for the purpose of the engagement, and to protect it with at least reasonable care. This does not apply to information that is public through no fault of the receiving party, was already lawfully known, is independently developed, or must be disclosed by law.
No guarantee of results
Marketing outcomes depend on factors outside our control, including your market, pricing, offer, responsiveness, reputation, competition and the behaviour of third-party platforms.
Any figures, examples, case studies or testimonials shown on the Site describe past outcomes for particular businesses and are not a promise or guarantee of the results you will achieve. We do not warrant any specific level of leads, bookings, reach, ranking, conversion or revenue.
Nothing on the Site is legal, tax, accounting or financial advice.
Disclaimers
The Site and the Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.
We do not warrant that the Site will be uninterrupted, timely, secure or error free.
Limitation of liability
To the fullest extent permitted by law, neither party is liable to the other for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data, or loss of goodwill, however caused and on any theory of liability.
Our total aggregate liability arising out of or relating to the Site, the Services or these Terms will not exceed the amount you paid us for the Services in the three months immediately before the event giving rise to the claim.
Nothing in these Terms limits liability that cannot lawfully be limited, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.
Indemnity
You agree to indemnify and hold harmless VMG, its members, officers, employees and contractors from any claim, demand, loss, liability, cost or expense, including reasonable legal fees, arising out of material you supply to us, your use of the deliverables, your breach of these Terms, or your violation of any law or of any third party’s rights.
Suspension and termination
We may suspend or terminate your access to the Site or the Services, in whole or in part, if you materially breach these Terms, if payment is overdue, or if we reasonably believe your conduct exposes us or a third party to legal or reputational risk.
Sections concerning intellectual property, confidentiality, disclaimers, limitation of liability, indemnity and governing law survive termination.
Changes to these Terms
We may update these Terms from time to time. The version published on this page is the version in force, and the date at the top shows when it last changed. Continued use of the Site or the Services after a change takes effect constitutes acceptance of the updated Terms.
Governing law and venue
These Terms and any dispute arising out of them or the Services are governed by the laws of the State of California, without regard to its conflict of laws rules.
The parties submit to the exclusive jurisdiction of the state and federal courts located in San Diego County, California. Each party waives any objection to venue in those courts.
The prevailing party in any proceeding to enforce these Terms is entitled to recover its reasonable attorneys’ fees and costs.
Miscellaneous
If any provision of these Terms is held unenforceable, the remaining provisions stay in force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition or sale of assets. These Terms, together with any written agreement between us, are the entire agreement on their subject matter.
